In these Terms, the following definitions apply:

| "Content" | All text, data, reports, recommendations, scores, and other materials generated by or made available through the Service. |
2. Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into a binding contract in order to use the Service. If you are using the Service on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.
When you create an account, you agree to provide accurate and complete information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Please notify us immediately at [email protected] if you suspect any unauthorised access.
3. The Free Audit
We offer a free discoverability audit that analyses a publicly accessible website URL you provide. The Free Audit is provided on an "as is" basis and is intended as an indicative assessment only. Results are generated automatically using our proprietary engines and should not be relied upon as professional legal, technical, or marketing advice.
We reserve the right to limit the number of free audits per user or IP address, and to modify or discontinue the Free Audit at any time without notice.
4. Paid Services
4.1 Subscription and Fees
Paid Services are available on a one-off or monthly subscription basis as described on our Pricing page. All prices are stated in Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added at the applicable rate at checkout.
4.2 Payment
Payments are processed securely by Stripe, Inc. By providing payment details, you authorise us to charge the applicable fees to your payment method. For monthly subscriptions, your payment method will be charged automatically on the same date each month until you cancel.
4.3 Cancellation
You may cancel your monthly subscription at any time by contacting us at [email protected] or through your client portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.
4.4 Refunds
For one-off purchases, you have the right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, unless the service has already been fully performed with your prior express consent. 5. Acceptable Use
You agree not to use the Service to:
- —Submit URLs or content that you do not have the right to analyse or share;
- —Attempt to reverse-engineer, scrape, or extract data from the Service by automated means;
- —Circumvent any access controls, rate limits, or security measures;
- —Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- —Transmit any malicious code, viruses, or harmful content;
- —Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- —Resell, sublicense, or commercially exploit the Service without our prior written consent.
We reserve the right to suspend or terminate your access to the Service immediately and without notice if we reasonably believe you have breached these Terms.
6. Intellectual Property
All intellectual property rights in the Service, including our software, algorithms, reports, branding, and website content, are owned by or licensed to SME AI Consultancy Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You retain all rights in the website URLs and any other data you submit to the Service. By submitting data, you grant us a limited, non-exclusive licence to use that data solely for the purpose of providing the Service to you.
The audit reports and recommendations generated by the Service are licensed to you for your own internal business use only. You may not reproduce, distribute, or commercially exploit them without our prior written consent.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. Audit results are generated automatically and are indicative only — they do not constitute professional advice and should not be relied upon as such.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
8. Limitation of Liability
To the fullest extent permitted by applicable law, our total aggregate liability to you arising out of or in connection with these Terms or the Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of: (a) the total fees paid by you to us in the 12 months preceding the event giving rise to the claim; or (b) £100.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
9. Third-Party Services
The Service integrates with or links to third-party services (including Stripe for payments and various data sources for audit analysis). We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is governed by their respective terms and privacy policies.
10. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will endeavour to provide reasonable notice of material changes where practicable.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Service.
